.com purchase and transfer?

I'm looking for a little advice about a .com domain registered at Network Solutions through a UK agent.

The registrant is a UK Limited company in liquidation. A Liquidator has been appointed and is happy to sell the rights to me, but doesn't have technical control of the registration through the registration agent's account, i.e. no account password et.c. as the company is no longer trading and the employees have been made redundant and moved on.

The registration agent has said in an email to the Liquidator,

"As this service has been closed down by us due to the previous company going into liquidation there should be no restriction in having this domain set up through any number of providers. The company cannot sell this domain as they no longer have the service".

Does anyone understand what the agent means by this (it seems confusing), and how is it normally possible to buy the rights to a .com registration and then change the whois at Network Solutions to reflect the change of ownership? I have no experience of buying and completing the transfer of a .com domain name.
