I have considerable concerns regarding Special Resolution 6:

http://www.nominet.org.uk/digitalAssets/28162_Nominet_AGM_pack_2008.pdf

6. THAT each of the draft articles relating to the Board’s ability to appoint two non-executive directors and the consequential amendments and deletions in respect of the adoption of such draft articles, as shown in blue text and highlighted blue in the Draft Articles be and are adopted by the Company and that the subsequent articles be renumbered accordingly;

While I welcome the new big banner on the Nominet homepage www.nic.uk which tells you how to vote....

And consultations being moved from "policy" (PAB doesn't look at governance issues) to "about us": http://www.nic.uk/about/consultations/previous/

How can the members "help shape the future of Nominet" if they are effectively voting to give their power away?

The membership should control a clear majority of the board?

What skills and experience can't be got from the membership?

How will the two appointed non-executives be recruited?
Quote from the orignial consultation: "In companies of Nominet's size, it is usual for the chairman to be a non-executive role".

I urge all Nominet members to vote AGAINST special resolution 6 however support all the other resolutions.

Nominet phoned me this morning, to ask if I was going to the AGM.
Is this happening to everybody?

Yeah, they did call me other day....

How fucking boring :)

Yes, it is a shame they dont do that for all elections and possibly key consultations :)

Awwww... they never rang me. Oh well, I'll have to proxy my vote to someone then, as I won't be able to attend.

No need Dave, you can vote online if you login to the Nominet secure thingy.

You might also like to look at the Special Resolution 6 FUD FAQ where several of the questions being asked have been answered.

Hazel:

Have these questions on your website been aswered by Nominet?

Have you been given permission to publicly publish this information on your website which is from a private members list?

Regards,

Sneezy.

PS: I'm being reliably informed that FUD is a Scottish term for fanny.

No. They have been answered by Alex Bligh and Clive Feather, as it says on the website. Where it also states "Nominet UK has no involvement with the content of this website and is not responsible for the viewpoints, words, images or anything else on this website."

The info on that webpage is not from any private mail list but directly from the two authors credited there.

Full Desclosure

It would seem that Gordon Dick went that 'extra mile' when requested to provide an additional statement in relationship to full desclosure:

Gordon Dick said:
For that reason and those set out in my election statement, I hope you will be able to vote for me as your 1st preference. However if you feel unable to support me, for any reason at all, then I would urge you to vote for Dickie Armour and Adam Beaumont.

...Further electionering rather than just answering the points asked - tut tut Mr. Dick

I wonder what he's going to do if he looses, epecially as it would seem that he is a director and a shareholder in a less than successful company:

Tokyo Ltd

Current Assets
Cash at bank and in hand = £303

Creditors
Amount falling due within one year = £1,145

Net Liabilities = (£842)

Looks like the boy's making a bit of a loss there - sounds like he has some tallents he's secretly not passing onto Nominet - i.e. 'How NOT To Make A Proffit'.

I guess sometimes it's best to keep some things to yourself. ;)

Regards,

Sneezy.

Maybe Beasty could help them in that department. These are a couple of companies where he has been a director:

GLOBAL PROJECTS MANAGEMENT LIMITED
Registered No : 03187017
10/10/2006 Warning notice, company in default
23/01/2007 Dissolution (Final)
Last filed accounts 30/04/2004:
Fixed Assets: 3,938
Bank & Deposits: 1,064
Current Liabilities: 5,000
Total Assets: 2 pounds
Significant event: Lost a high court action against Citigroup.

SENDTRUST LIMITED
Registered No : 04106927
Dormant since formation
1/05/2007 Warning notice, company in default
14/08/2007 Dissolution (Final)

...with those figues it looks like it may have been ran on a 'cost neutrality' basis - right up Nominets street surely. ;)

So yes, on that basis I think Beasty could do rather a lot to help them. :p
