WTF - Senior Independent Director?

Receiving the Nominet AGM and non-executive director elections sheet, I assumed they were making these titles up :

"Dr Clive Grace, OBE."
"Senior Independent Director"

So I decided to undertake a quick search - just to check if it's a real job or a "Nom-made-up-job" type of job.

A quick search shows us a very very interesting array of responsibilities and roles :

"the role of the Senior Independent Director includes" (amongst other things)

Ensuring that the Chair is passing on the views of the Shareholders and especially that any concerns are conveyed to all Directors;


Hmm so that means "Baroness Rennie Fritchie, DBE – Chair" is passing on our views and concerns - GW can that be true?


Furthermore when a Board is under-going a period of stress....[sic]...the Senior Independent Director’s intervention might be required to maintain Board and Company stability and cohesion. These may include : (amongst other things)

Where Shareholders or Non-Executive Directors have expressed concerns that are not being addressed by the Chair or CEO;

Again, this may give some of us reason to chuckle somewhat.


But does it raise some intreresting thoughts over exactly how Nominet is actually dealing with everything?
