I need some advice, I have registered a .co.uk domain name as I was about to become the Uk Distributor of an american product, unfortunately talks have broken down and I will no longer be the distributor. The american company want me to hand over the domain to them.. Do I have to or can I sell it to them to compensate me for the time and effort I have put in to this point..

Any help and advice would be greatly appreciated. thank you.

Hard to tell to be honest, but ultimately it looks like you would have to give it them back unless it is very very generic.
 
If the domain is registered in your name then you have to agree to change that and they or you pay Nominet to make the changes.

Otherwise they can raise a dispute against you but have to prove their case through the Nominet DRS system (see nominet.org.uk)

I'd be less inclined to be helpful. I know the negotiations may be "no fault", but I'd state that you have put time and energy into the UK marketing and distribution network and park of that involves your expertise on the domain name branding.

I would let them take it perhaps through a DRS, but would not voluntarily give it back unless they provide some recompense.

Sorry to hear that a distribution agreement didn't work out. What you do with the domain depends on your style of business. My own approach would be say yes I'm prepared to give the domain up to them, but I would appreciate some sort of gesture from them to compensate me for my time and effort, at their discretion. Whether you could hold out and sell the domain to them will depend on whether you could argue the domain was "generic" as opposed to their "intellectual property". If not generic, I personally would give it up and move on to other business opportunities.
